San Jose, CA — The Viet Museum at History Park remained closed as of December 31, following an ongoing governance dispute involving the Immigrant Resettlement & Cultural Center (IRCC), the nonprofit organization historically affiliated with the museum, and History San Jose (HSJ), the operator of History Park.
HSJ has stated that it will not recognize any party as the authorized operator of the Viet Museum unless one of three forms of documentation is provided:
(1) a signed written agreement by all involved parties acknowledging a unified governing body;
(2) a court order or legal judgment confirming IRCC’s legitimate governing body; or
(3) a final arbitration decision or settlement resolving the dispute.
HSJ has indicated that, absent such documentation by December 31, it would not grant an extension and would continue to suspend access to the museum.
IRCC, however, disputes HSJ’s position. In written correspondence, IRCC argues that these requirements are not found in the Affiliate Agreement between IRCC and HSJ and that HSJ lacks contractual authority to impose additional verification conditions or suspend access without following the agreement’s default and termination procedures. IRCC maintains that it remains a legally recognized nonprofit in good standing with the State of California and the sole contracting party under the existing agreement.
IRCC has further stated that no formal notice of default, suspension, or termination—identifying a specific contractual breach and providing an opportunity to cure—has been issued in accordance with the Affiliate Agreement.
The City of San Jose, which owns History Park and the Greenawalt House where the Viet Museum is located, is not a party to the Affiliate Agreement. City officials have consistently stated that operational decisions regarding the Viet Museum are made by History San Jose and that the City does not intervene in internal disputes or contractual matters between independent organizations.
As of the December 31 deadline, the museum remains closed, and the dispute unresolved. IRCC has indicated that it is evaluating legal options to clarify the parties’ respective rights and obligations under the Affiliate Agreement.
The closure of the Viet Museum has drawn significant attention within the Vietnamese American community, where the museum is widely regarded as an important cultural and historical institution documenting the Vietnamese refugee experience in the United States.

San Jose, California — Tính đến ngày 31 tháng 12, Viet Museum tại History Park vẫn tiếp tục đóng cửa, trong bối cảnh tranh chấp về thẩm quyền quản lý giữa Trung Tâm Định Cư & Văn Hóa Di Dân (IRCC), tổ chức gắn bó lâu năm với bảo tàng, và History San Jose (HSJ), đơn vị vận hành History Park.
HSJ cho biết sẽ không công nhận bất kỳ bên nào là đơn vị điều hành hợp pháp của Viet Museum trừ khi nhận được một trong ba loại giấy tờ sau:
(1) văn bản có chữ ký của tất cả các bên liên quan, công nhận một bộ máy lãnh đạo thống nhất;
(2) phán quyết hoặc lệnh của tòa án xác nhận bộ máy lãnh đạo hợp pháp của IRCC; hoặc
(3) kết quả phân xử hoặc thỏa thuận dàn xếp có tính chung thẩm.
Theo HSJ, nếu đến ngày 31 tháng 12 không có các giấy tờ nói trên, họ sẽ không gia hạn và sẽ tiếp tục đình chỉ việc mở cửa bảo tàng.
Về phía mình, IRCC phản đối lập trường này. Trong các văn bản trao đổi, IRCC cho rằng những yêu cầu trên không được quy định trong Affiliate Agreement giữa IRCC và HSJ, và HSJ không có thẩm quyền tự ý đặt ra các tiêu chí xác minh ngoài hợp đồng, cũng như không thể đình chỉ quyền tiếp cận bảo tàng nếu chưa thực hiện đúng các thủ tục pháp lý về vi phạm và chấm dứt hợp đồng. IRCC khẳng định họ vẫn là một tổ chức phi lợi nhuận hợp pháp, đang hoạt động tốt theo hồ sơ của tiểu bang California, và là bên duy nhất ký hợp đồng với HSJ.
IRCC cũng cho biết họ chưa từng nhận được bất kỳ thông báo vi phạm, đình chỉ hay chấm dứt hợp đồng nào đáp ứng đầy đủ các yêu cầu về nội dung và thủ tục theo Affiliate Agreement.
Thành phố San Jose, đơn vị sở hữu History Park và tòa nhà Greenawalt House – nơi đặt Viet Museum – không phải là bên ký kết Affiliate Agreement. Các giới chức thành phố nhiều lần nhấn mạnh rằng mọi quyết định vận hành liên quan đến Viet Museum thuộc thẩm quyền của History San Jose, và thành phố không can thiệp vào các tranh chấp nội bộ hay hợp đồng giữa các tổ chức độc lập.
Tính đến thời hạn 31 tháng 12, Viet Museum vẫn đóng cửa và tranh chấp chưa có hồi kết. IRCC cho biết đang xem xét các biện pháp pháp lý nhằm làm rõ quyền và nghĩa vụ của các bên theo hợp đồng đã ký.
Việc Viet Museum đóng cửa đã thu hút sự quan tâm lớn trong cộng đồng người Mỹ gốc Việt, nơi bảo tàng được xem là một thiết chế văn hóa – lịch sử quan trọng, ghi lại hành trình của người Việt tị nạn tại Hoa Kỳ.
