Vietnamese Businesses Sue Vietnam Town HOA Over Alleged Mismanagement and Financial Misconduct

A group of Vietnamese business and property owners in San Jose’s Vietnam Town have filed a sweeping lawsuit alleging years of financial mismanagement, sham elections, and the misappropriation of millions of dollars by the Vietnam Town Condominium Owners Association (VTCOA) and affiliated developers.

According to the civil complaint filed in Santa Clara County Superior Court, eight plaintiffs—each owning units in the Vietnam Town commercial complex—claim that board members and associated business entities diverted association funds for personal gain, unlawfully reduced dues for favored owners, and used forged ballots to maintain control of the HOA.

Alleged Misappropriation of Over $6.3 Million

The lawsuit alleges that VTCOA officers — including Joseph Nguyen, Rosalie Cartwright, Khanh Cao Huu, and Xin Tran — cannot account for $6,398,430.71 in insurance proceeds intended for structural repairs. Plaintiffs say the money was entrusted to the HOA on behalf of property owners, but repairs such as parking garage fixes have gone unresolved for years.

The complaint further claims that funds and resources were directed to benefit select owners, including units controlled by developer Lap Tang, VTP LLC, and SF Diversified Properties.

Claims of Sham Elections and HOA Board Control

Plaintiffs say the HOA board has been controlled for years through irregular or fraudulent elections—allegedly involving forged ballots, ineligible voters, and unilateral postponement of elections.

One cited example: despite receiving only 7 votes out of 362, board member Rosalie Cartwright remained in power for years.

In October 2025, the first election in seven years was held, but plaintiffs argue that developer-affiliated candidates — including Jason Mao and Johnson Wong — were installed without proper process, despite some not being eligible due to unpaid HOA dues.

Millions in Unpaid or Reduced HOA Dues

The lawsuit also accuses the HOA board of allowing favored owners to underpay dues for years, shifting the financial burden onto other business owners.

According to the First Amended Complaint:

  • VTP LLC, associated with developer Lap Tang, allegedly owes $7,254,350.81 in unpaid assessments, penalties, and interest.
  • SF Diversified, associated with Johnson Wong, allegedly underpaid $633,712.00 since 2022.

Plaintiffs argue this violates the CC&Rs, which require dues to be calculated based on square footage.

Impact on Local Vietnamese Businesses

Business owners say mismanagement has harmed their ability to operate—citing unresolved structural issues, parking garage problems, and unfair financial burdens. Some claim they have suffered loss of revenue because customers avoid the area due to poor infrastructure.

The lawsuit alleges the HOA was run “as a for-profit business benefiting a small group of individuals”, rather than a nonprofit entity meant to serve all condominium owners.

Legal Relief Sought

Plaintiffs are requesting:

  • Restitution of millions in allegedly misappropriated funds
  • Injunctions barring certain individuals and entities from serving on the HOA board
  • Enforcement of equal dues for all units
  • Punitive damages and attorney fees

Một nhóm tám chủ cơ sở thương mại tại khu Vietnam Town (San Jose) vừa nộp đơn kiện Ban Quản Trị Khu Chung Cư Thương Mại Vietnam Town (VTCOA), cáo buộc nhiều năm quản lý yếu kém, bầu cử gian lận và sử dụng sai mục đích hàng triệu Mỹ kim tiền quỹ của cộng đồng.

Theo đơn kiện nộp tại Tòa Thượng Thẩm Quận Santa Clara, các nguyên đơn cho biết Ban Quản Trị đã để thất thoát hơn 6,398,430 Mỹ kim tiền bảo hiểm, ưu ái giảm hoặc miễn phí niên liễm cho một số chủ nhân được “chống lưng”, và sử dụng phiếu bầu bị làm giả để duy trì quyền kiểm soát.

Hơn 6.3 triệu Mỹ kim không rõ đã đi đâu

Tháng 10 năm 2025, dù lần đầu tổ chức bầu cử sau 7 năm, các ứng viên liên hệ với nhà phát triển — như Jason Mao và Johnson Wong — được đưa vào Ban Trị Sự, dù một số người không đủ điều kiện do còn nợ phí.

  • Bồi thường thiệt hại, tiền phạt và án phí
